Terms of Service

These Terms govern your access to and use of AgentArk, including marketplace discovery, builder listings, requests, order workspaces, payment-mode tooling, support, and related services.

1. Scope of Agreement

  • Binding agreement

    By accessing or using AgentArk, you agree to these Terms and the policies referenced here, including our Privacy Policy, Refunds & Disputes page, trust and safety standards, and any additional in-product notices that apply to specific features.

  • Who may use AgentArk

    You must have legal capacity to enter a binding contract in your jurisdiction and use the service only in compliance with applicable law. If you use AgentArk for an organization, you represent that you have authority to bind that organization.

  • Service evolution

    AgentArk is a live platform and may add, remove, or modify workflows, commercial features, moderation controls, and integrations over time. New or revised features may be subject to additional posted terms.

2. Platform Role and Relationship Between Parties

  • Marketplace and workflow infrastructure

    AgentArk provides discovery, matching, order documentation, milestone tracking, evidence capture, messaging, and operational support. Unless AgentArk expressly states otherwise in writing or in-product for a specific transaction, AgentArk is not the provider of the underlying builder services.

  • No employment, agency, or brokerage relationship

    AgentArk does not employ builders for employers, does not act as a staffing agency, and does not become the legal agent, fiduciary, or representative of either party solely by operating the platform.

  • Independent evaluation remains required

    Employers remain responsible for evaluating listings, claims, outputs, security fit, regulatory exposure, and business suitability before entering an order. Builders remain responsible for the accuracy of their listings, credentials, and commercial commitments.

3. Accounts, Identity, and Platform Integrity

  • Account security

    You are responsible for safeguarding your credentials, maintaining accurate account information, and all activity that occurs under your account. Notify us promptly if you suspect unauthorized access or compromise.

  • Truthful identity and offering information

    Profiles, listings, requests, deliverables, and commercial statements must be materially accurate and not misleading. You may not impersonate another person or organization, falsify trust signals, or misrepresent workflow performance, case studies, or verification status.

  • No circumvention or abuse

    You may not interfere with the service, reverse engineer protected functionality, scrape the platform in violation of these Terms, bypass access controls, distribute malware, engage in fraud, or use AgentArk for unlawful, abusive, deceptive, or rights-infringing activity.

4. Listings, Requests, Orders, and Acceptance Records

  • Marketplace records matter

    Each order is governed by the scope, milestones, acceptance criteria, revision expectations, submission notes, and other records documented in AgentArk unless the parties clearly amend them through the platform record or a separate valid written agreement.

  • Keep operational evidence on-platform

    To preserve a reliable audit trail, parties should keep scope changes, milestone submissions, approval comments, payment confirmations, and dispute-related evidence in AgentArk whenever possible. Off-platform side discussions do not automatically override the platform record.

  • No guarantee of work outcome

    AgentArk does not guarantee that a listing, match, deliverable, implementation, timeline, or business outcome will satisfy your expectations. Platform trust signals are operational indicators, not warranties.

5. Current Payment Model and Future Managed Payments

  • Current launch mode

    As of June 5, 2026, new AgentArk orders launch in direct-payment mode unless AgentArk explicitly marks an order as platform-managed. In direct-payment mode, employers and builders arrange payment between themselves while AgentArk records the workflow and supporting evidence.

  • No implied custody of funds in direct mode

    In direct-payment mode, AgentArk does not automatically collect, hold, split, remit, safeguard, or insure payment funds, and is not automatically the merchant of record, escrow trustee, or payment intermediary for those transactions.

  • Future managed-payment mode

    If AgentArk enables managed checkout, escrow, platform fees, or split settlement in the future, those features will be governed by separate in-product terms, payment disclosures, fee schedules, and any required provider agreements at the time they are activated.

6. Fees, Taxes, Compliance, and Third-Party Services

  • Fees and pricing disclosures

    Platform fees, service charges, payout deductions, or future managed-payment pricing apply only as described at the time of the transaction, in a posted schedule, or in a separate written agreement. Direct-payment launch orders do not imply that AgentArk is currently collecting a platform fee unless clearly disclosed.

  • Taxes and invoicing

    You are responsible for taxes, invoicing, reporting, withholding, and regulatory obligations arising from your use of AgentArk and your transactions unless applicable law requires otherwise.

  • Third-party infrastructure and providers

    AgentArk may rely on hosting, identity, storage, analytics, monitoring, communications, and payment-related providers. Their service interruptions, policies, and technical limitations may affect the availability or behavior of AgentArk features.

7. Content, Licenses, and Platform Rights

  • Your content and responsibility

    You retain ownership of content you submit, including listings, order materials, files, deliverables, comments, and support submissions. You are responsible for ensuring that your content is lawful, authorized, and does not violate intellectual property, confidentiality, privacy, or other rights.

  • License to operate the service

    You grant AgentArk a limited, non-exclusive, worldwide license to host, process, reproduce, transmit, display, moderate, and otherwise use your content as needed to operate, secure, improve, and enforce the service and these Terms.

  • Platform property

    AgentArk's software, design, workflows, branding, and original platform content are protected by law. Except as expressly permitted, you may not copy, distribute, reverse engineer, or exploit them without permission.

8. Moderation, Suspension, and Enforcement

  • Policy enforcement

    We may investigate conduct, remove content, limit features, suspend access, or terminate accounts where reasonably necessary to address fraud, abuse, security concerns, legal obligations, intellectual property claims, or marketplace integrity risks.

  • Cooperation with investigations

    You agree to provide reasonably requested information relevant to support, moderation, payment-confirmation review, trust and safety investigations, or dispute handling, subject to applicable law and privacy requirements.

  • No obligation to maintain all content

    We may preserve, restrict, or remove content and records in line with safety, operational, legal, or retention needs. We are not obligated to keep every submission available indefinitely in the live product.

9. Disclaimers and Liability Limits

  • As-is service

    To the maximum extent permitted by law, AgentArk is provided on an as-is and as-available basis without warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement.

  • No guarantee of counterparties or outcomes

    We do not warrant the identity, reliability, legality, performance, availability, or solvency of employers, builders, listings, or third-party providers, nor do we guarantee that any transaction, work result, or dispute outcome will meet your expectations.

  • Liability boundary

    To the maximum extent permitted by law, AgentArk and its affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost revenue, profits, goodwill, data, opportunities, or business interruption arising from your use of the platform or any third-party transaction facilitated through it.

10. Changes, Governing Process, and Contact

  • Updates to these Terms

    We may revise these Terms from time to time. Updated versions will be posted here with a revised effective date, and continued use after that date constitutes acceptance except where law requires additional notice or consent.

  • Interpretation and severability

    If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Section headings are for convenience only and do not limit interpretation.
